These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Eigenmind Pvt Ltd ("Unio", "Company", "we", "us", "our"), a company incorporated under the laws of India, governing your access to and use of the Unio platform, website (unioedtech.com), applications, tools, content, and services (collectively, the "Platform" or "Service").
By accessing, browsing, registering for, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at unioedtech.com/privacy), and any additional terms, policies, or guidelines referenced herein or made available on the Platform from time to time. If you do not agree to these Terms, you must not access or use the Platform.
If you are accessing or using the Platform on behalf of an organization, including but not limited to a school, coaching institute, educational trust, or other entity ("Institution"), you represent and warrant that you have the authority to bind such Institution to these Terms, and all references to "you" or "User" shall include both you individually and the Institution.
1. DEFINITIONS
1.1. "Administrator" means an authorized representative of an Institution who manages the Institution's account, creates and manages User accounts, configures courses, and oversees the use of the Platform within that Institution.
1.2. "Assessment" means any psychometric test, personality assessment, career aptitude evaluation, quiz, examination, or diagnostic tool made available through the Platform, including the 151-item psychometric battery, career prediction engine, and any derivative instruments.
1.3. "Assessment Data" means all responses, answers, scores, results, derived insights, personality classifications, career predictions, dimensional scores, variable computations, and any other outputs generated through or derived from Assessments.
1.4. "B2B Service" means the institutional learning management system ("LMS") provided to schools, coaching institutes, and other educational organizations under a subscription arrangement.
1.5. "B2C Service" means the direct-to-consumer self-study application provided to individual students under a subscription arrangement, including preparation tools for JEE, NEET, Board Examinations, and related academic pursuits.
1.6. "Content" means all text, graphics, images, audio, video, data, concept maps, question banks, curriculum materials, study materials, reports, analytics, and other materials made available through the Platform by Unio or its licensors.
1.7. "Data Fiduciary" has the meaning ascribed to it under the Digital Personal Data Protection Act, 2023, and refers to the entity that determines the purpose and means of processing personal data.
1.8. "Data Processor" has the meaning ascribed to it under the Digital Personal Data Protection Act, 2023, and refers to the entity that processes personal data on behalf of the Data Fiduciary.
1.9. "Free Tier" means the no-cost service offering that includes access to the psychometric personality assessment and career report on the Platform website.
1.10. "Institution" means any school, coaching institute, educational trust, tuition center, or other educational organization that subscribes to the B2B Service.
1.11. "Intellectual Property" means all patents, copyrights, trademarks, trade secrets, trade dress, domain names, proprietary algorithms, concept maps, scoring methodologies, personality frameworks, type taxonomies, career prediction models, machine learning models, source code, databases, and all other intellectual property rights, whether registered or unregistered.
1.12. "Order Form" means any written agreement, purchase order, or subscription confirmation between Unio and an Institution or User that specifies the scope, duration, pricing, and terms of a particular subscription.
1.13. "Parent" means the parent, legal guardian, or any person having lawful charge of a Minor User.
1.14. "Minor User" means any User who is below the age of eighteen (18) years.
1.15. "Platform" means the Unio website (unioedtech.com), web applications, mobile applications, APIs, and all associated services, tools, and infrastructure.
1.16. "Student" means an individual enrolled as a learner on the Platform, whether through an Institution or individually.
1.17. "Subscription" means a paid arrangement granting access to the B2B Service or B2C Service for a specified period.
1.18. "Teacher" means an individual with an educator account on the Platform, whether employed by an Institution or operating independently.
1.19. "User Content" means any content, data, information, text, responses, answers, written work, quiz submissions, assessment responses, notes, communications, feedback, or other materials that a User creates, submits, uploads, posts, or otherwise makes available through or to the Platform.
1.20. "User" means any individual or entity that accesses or uses the Platform, including but not limited to Students, Teachers, Parents, Administrators, and visitors.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
2.1. Age Requirement. The Platform is designed for Students in Class 8 through Class 12, typically aged thirteen (13) to seventeen (17) years. Users below the age of eighteen (18) years may use the Platform only with the verifiable consent of their Parent in accordance with Section 5 of these Terms and applicable law, including the Digital Personal Data Protection Act, 2023.
2.2. Capacity to Contract. If you are eighteen (18) years of age or older, you represent that you have the legal capacity to enter into this Agreement under the Indian Contract Act, 1872. If you are entering into this Agreement on behalf of an Institution, you represent that you have the authority to bind the Institution.
2.3. Account Registration. To access certain features of the Platform, you must register for an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate, current, and complete.
2.4. Account Types. The Platform supports the following account types: (a) Student accounts, (b) Teacher accounts, (c) Parent accounts, and (d) Administrator accounts. The features and functionalities available to you depend on your account type.
2.5. One Account Per Person. Each individual may maintain only one account on the Platform. Creating multiple accounts for the same individual, whether directly or through an Institution, is prohibited.
2.6. Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify Unio at support@unioedtech.com of any unauthorized use of your account or any other breach of security. Unio shall not be liable for any loss or damage arising from your failure to maintain the security of your account.
2.7. Institutional Account Creation. Where an Institution subscribes to the B2B Service, the Administrator may create and manage User accounts for Students, Teachers, and Parents affiliated with that Institution. The Institution is responsible for ensuring that all such accounts are created with the consent of the respective individuals and, in the case of Minor Users, their Parents.
3. DESCRIPTION OF SERVICES
3.1. Overview. Unio is an outcomes-driven educational technology platform for Indian K-12 students (Class 8 through Class 12). The Platform provides concept mastery tracking, AI-powered study tools, psychometric career assessments, and curriculum-aligned learning management capabilities.
3.2. B2B Learning Management System. The B2B Service provides Institutions with: (a) curriculum-aligned concept maps covering 4,690+ concepts mapped to NCERT and Board syllabi; (b) question banks with 57,000+ questions spanning multiple subjects and difficulty levels; (c) AI-powered grading and feedback for CBSE subject-specific assessments; (d) concept mastery tracking and learning analytics for individual students and cohorts; (e) AI study agent for personalized student guidance; (f) psychometric career assessments and personality profiling; (g) class, section, and batch management tools; (h) teacher dashboards with performance analytics; and (i) parent reporting and communication tools.
3.3. B2C Self-Study Application. The B2C Service provides individual Students with: (a) JEE, NEET, and Board Examination preparation tools; (b) AI-powered study planning and concept mastery tracking; (c) practice questions with AI grading and feedback; (d) personalized learning paths based on strengths, weaknesses, and target examinations; and (e) psychometric career assessment and guidance.
3.4. Free Tier. The Free Tier provides visitors and registered users with access to the psychometric personality assessment on the Platform website, which generates a career aptitude report based on Unio's proprietary 49-type personality framework. The Free Tier is subject to these Terms, and by using the Free Tier, you agree to all provisions herein, including those relating to data usage and intellectual property.
3.5. AI-Powered Features. The Platform incorporates artificial intelligence technologies, including but not limited to AI grading, AI question generation, AI study agents, and AI-driven concept mastery tracking. Users acknowledge that:
- (a) AI-generated content, feedback, grades, and recommendations are supplementary tools and do not replace human judgment, professional guidance, or teacher evaluation;
- (b) AI outputs may contain errors, inaccuracies, or limitations; and
- (c) Unio continuously improves its AI systems, which may result in changes to AI-generated outputs over time.
3.6. Service Availability. The Platform is provided on an "as-is" and "as-available" basis. While Unio endeavors to maintain high availability, we do not guarantee uninterrupted, error-free, or secure access to the Platform. Scheduled maintenance, updates, and unforeseen technical issues may result in temporary service interruptions. Unio will make commercially reasonable efforts to provide advance notice of planned downtime.
3.7. Content Accuracy. While Unio strives to ensure the accuracy of all Content on the Platform, including curriculum-aligned materials, question banks, and concept maps, Unio does not warrant that all Content is free from errors. Users are encouraged to report any inaccuracies to support@unioedtech.com.
4. USER ACCOUNTS AND RESPONSIBILITIES
4.1. General Obligations. All Users agree to: (a) provide accurate and truthful information during registration and at all times thereafter; (b) use the Platform only for lawful educational purposes; (c) comply with all applicable laws, regulations, and these Terms; (d) not interfere with or disrupt the Platform, servers, or networks connected to the Platform; and (e) not attempt to gain unauthorized access to any portion of the Platform or any systems or networks connected to the Platform.
4.2. Student Obligations. Students agree to: (a) use the Platform for their own educational benefit; (b) complete Assessments honestly and without external assistance unless instructed otherwise; (c) not share quiz answers, assessment responses, or examination content with other Students; and (d) respect academic integrity in all interactions with the Platform.
4.3. Teacher Obligations. Teachers agree to: (a) use the Platform to support student learning outcomes; (b) maintain the confidentiality of student data accessible through their accounts; (c) not share student assessment results or personal information except as authorized by the Institution and applicable law; and (d) ensure that any content they create or upload to the Platform does not infringe upon third-party intellectual property rights.
4.4. Administrator Obligations. Administrators agree to: (a) manage User accounts responsibly, including creating, modifying, and deactivating accounts as appropriate; (b) ensure that all Users within their Institution are made aware of and comply with these Terms; (c) maintain the security of administrative credentials; and (d) promptly report any security incidents or unauthorized access.
4.5. Parent Obligations. Parents agree to: (a) provide verifiable consent for their Minor User's use of the Platform in accordance with Section 5; (b) supervise their Minor User's use of the Platform as appropriate; and (c) be responsible for any activities conducted through their Minor User's account.
4.6. Institutional Obligations. Institutions subscribing to the B2B Service agree to: (a) designate at least one Administrator; (b) ensure that all Users affiliated with the Institution comply with these Terms; (c) obtain all necessary consents from Students, Parents, and Teachers before creating their accounts; (d) comply with all applicable data protection laws, including the Digital Personal Data Protection Act, 2023; and (e) not exceed the number of Users specified in their Subscription or Order Form.
5. PARENTAL AND GUARDIAN CONSENT
5.1. Consent Requirement. In compliance with the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023, all Users below the age of eighteen (18) years must obtain verifiable consent from their Parent before creating an account on or using the Platform.
5.2. Methods of Consent. Parental consent may be obtained through one or more of the following methods: (a) electronic consent provided through the Parent's own registered account on the Platform; (b) written consent submitted by the Institution on behalf of the Parent; (c) consent provided through the Platform's parental consent mechanism during account creation; or (d) any other method that Unio may implement from time to time in compliance with applicable law.
5.3. Institutional Consent. Where a Minor User's account is created by an Institution through the B2B Service, the Institution represents and warrants that it has obtained all necessary parental or guardian consents before creating such accounts. The Institution shall maintain records of such consents and make them available to Unio upon request.
5.4. Ongoing Consent. Parental consent is not a one-time requirement. Parents may withdraw their consent at any time by contacting Unio at support@unioedtech.com or through their Parent account on the Platform. Withdrawal of consent will result in the deactivation of the Minor User's account, subject to the data retention provisions in Section 17.
5.5. Parent Access. Parents of Minor Users shall have the right to: (a) review the personal data of their Minor User held by Unio; (b) request correction of inaccurate personal data; and (c) request deletion of their Minor User's account, subject to the data retention provisions in Section 17 and any contractual obligations between Unio and the Institution.
6. SUBSCRIPTION PLANS, PAYMENT, AND BILLING
6.1. B2B Subscription Pricing. The B2B Service is offered to Institutions at a subscription rate of INR 200 (Indian Rupees Two Hundred) per student per month, or as otherwise specified in the applicable Order Form. Pricing is exclusive of applicable taxes, including Goods and Services Tax ("GST").
6.2. B2C Subscription Pricing. The B2C Service is offered to individual Students at a subscription rate of INR 299 (Indian Rupees Two Hundred and Ninety-Nine) per month, or as otherwise specified at the time of purchase. Pricing is exclusive of applicable taxes, including GST.
6.3. Founding Partner Rates. Unio may offer founding partner pricing or promotional rates to early adopters. Such rates, where applicable, will be specified in the Order Form and are subject to the conditions stated therein.
6.4. Free Trial. Unio offers a free trial period of four (4) weeks for the B2B Service, commencing from the date of account activation. During the free trial, the Institution shall have access to the full functionality of the B2B Service. At the conclusion of the free trial, the Institution must subscribe to a paid plan to continue using the Service. Unio reserves the right to modify, suspend, or discontinue the free trial offering at any time.
6.5. Billing Cycle. Subscriptions are billed on a monthly or annual basis, as specified in the Order Form or at the time of purchase. Annual billing may be offered at a discounted rate.
6.6. Payment Methods. Payments may be made through: (a) bank transfer (NEFT/RTGS/IMPS); (b) UPI; (c) Razorpay or any other payment gateway integrated with the Platform; or (d) any other method that Unio may make available from time to time.
6.7. Payment Terms. All invoices are due and payable within fifteen (15) days of the invoice date, unless otherwise specified in the Order Form. For B2C Subscriptions, payment is due at the time of purchase or renewal.
6.8. Late Payment. If payment is not received within thirty (30) days of the due date, Unio reserves the right to: (a) suspend access to the Platform for the defaulting User or Institution; (b) charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower; and (c) recover reasonable collection costs incurred in pursuing the overdue payment.
6.9. Taxes. All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including GST, associated with your use of the Platform. Unio will issue GST-compliant invoices where applicable.
6.10. Refund Policy. Subscription fees are generally non-refundable. No refunds shall be issued for partial billing periods, unused features, or early termination, except where: (a) required by the Consumer Protection Act, 2019; (b) Unio has materially breached these Terms and failed to cure such breach within thirty (30) days of written notice; or (c) otherwise specified in the Order Form.
6.11. Price Changes. Unio reserves the right to modify subscription pricing at any time. Price changes for existing subscribers will take effect at the next renewal period following thirty (30) days' written notice. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.
6.12. Auto-Renewal. Unless otherwise specified, Subscriptions will automatically renew at the end of each billing cycle at the then-current pricing. You may cancel auto-renewal at any time before the start of the next billing cycle through your account settings or by contacting support@unioedtech.com.
7. FREE TIER AND TRIAL SERVICES
7.1. Free Tier Access. The Free Tier is available to all visitors and registered users of the Platform. No payment is required to access the Free Tier.
7.2. Free Tier Scope. The Free Tier includes access to the psychometric personality assessment and the resulting career aptitude report. Unio may modify the scope of the Free Tier at any time without prior notice.
7.3. Data Usage for Free Tier. By using the Free Tier, you expressly acknowledge and agree that: (a) your Assessment responses and results constitute User Content subject to Section 10; (b) Unio may use, analyze, aggregate, and derive insights from your Assessment Data in accordance with these Terms; (c) the Free Tier is provided in exchange for, among other things, your contribution of Assessment Data that helps improve the Platform for all users; and (d) all provisions of these Terms apply to Free Tier usage, including those relating to data usage and intellectual property.
7.4. No Guarantee of Availability. The Free Tier and trial services are provided at Unio's discretion and may be modified, suspended, or discontinued at any time without prior notice or liability.
8. ACCEPTABLE USE POLICY
8.1. Permitted Use. The Platform may be used solely for lawful educational purposes, including learning, teaching, assessment, career exploration, and academic administration.
8.2. Prohibited Conduct. You agree not to, and not to permit any third party to:
- (a) Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, scoring methodologies, data models, personality frameworks, concept map structures, or any other proprietary components of the Platform.
- (b) Data Extraction: Scrape, crawl, harvest, or otherwise extract data from the Platform through automated means, including bots, spiders, or similar technologies, except as expressly permitted by Unio in writing.
- (c) Content Redistribution: Copy, reproduce, distribute, publish, display, transmit, or make available any Content, including but not limited to question banks, concept maps, assessment items, career reports, or study materials, except for personal, non-commercial educational use or as authorized by these Terms.
- (d) Unauthorized Access: Attempt to gain unauthorized access to any portion of the Platform, other User accounts, computer systems, or networks connected to the Platform, through hacking, password mining, or any other means.
- (e) Impersonation: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- (f) Academic Dishonesty: Share assessment answers, quiz content, or examination materials with other Users in a manner that facilitates cheating or undermines academic integrity.
- (g) Commercial Exploitation: Use the Platform, Content, or any data obtained from the Platform for unauthorized commercial purposes, including but not limited to reselling, sublicensing, or creating competing products or services.
- (h) Harmful Activity: Upload, transmit, or distribute any viruses, malware, worms, Trojan horses, or any other harmful, disruptive, or destructive files or code.
- (i) Interference: Interfere with or disrupt the integrity or performance of the Platform, or the data contained therein, or attempt to do so.
- (j) Illegal Activity: Use the Platform in connection with any illegal activity, including but not limited to violations of the Information Technology Act, 2000, and rules thereunder.
- (k) Harassment: Harass, abuse, threaten, defame, or intimidate any other User of the Platform.
- (l) Misrepresentation of Results: Misrepresent, falsify, or manipulate Assessment results, academic scores, or any other data on the Platform.
8.3. Institutional Responsibility. Institutions are responsible for ensuring that all Users affiliated with them comply with this Acceptable Use Policy. Institutions shall implement reasonable measures to prevent unauthorized or prohibited use of the Platform by their Users.
8.4. Monitoring and Enforcement. Unio reserves the right, but is not obligated, to monitor the use of the Platform for compliance with this Acceptable Use Policy. Unio may, in its sole discretion, take any action it deems appropriate in response to violations, including issuing warnings, suspending or terminating accounts, removing content, and reporting violations to law enforcement authorities.
9. INTELLECTUAL PROPERTY RIGHTS
9.1. Unio's Proprietary Rights. The Platform, including all Content, features, functionality, software, code, databases, and documentation, is the exclusive property of Eigenmind Pvt Ltd and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of India and applicable international treaties. Without limiting the foregoing, the following are the exclusive Intellectual Property of Unio:
- (a) All concept maps, including the hierarchical structure of 4,690+ concepts, their interrelationships, prerequisite chains, and cognitive operation mappings.
- (b) All scoring algorithms, psychometric models, dimensional mapping formulas, variable computation methods, ipsatization procedures, and norm-referencing methodologies.
- (c) The 49-type personality framework, including type definitions, archetype classifications, edge descriptions, dimensional profiles, and all associated taxonomies and typologies.
- (d) The career prediction engine, including the mapping of 102 dimensions to 148 careers, compatibility scoring algorithms, and all career recommendation models.
- (e) All AI models, including grading models, study agent algorithms, question generation systems, concept mastery tracking algorithms, and any machine learning models trained on Platform data.
- (f) All question banks, whether created by Unio, generated by AI, or curated from public sources, in their specific selection, arrangement, sequencing, tagging, and presentation on the Platform.
- (g) The Unio name, logo, tagline, trade dress, domain names, and all associated branding elements.
- (h) All reports, analytics dashboards, visualizations, and presentation formats generated by the Platform.
- (i) All derivative works, improvements, modifications, and enhancements to any of the foregoing, regardless of whether such derivatives incorporate User Content or User contributions.
9.2. No Transfer of Ownership. Nothing in these Terms grants you any ownership interest in the Platform, Content, or any Intellectual Property of Unio. Your right to use the Platform is limited to the license expressly granted in these Terms.
9.3. Limited License to Users. Subject to your compliance with these Terms, Unio grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial educational purposes (for individual Users) or for internal educational and administrative purposes within your Institution (for Institutional Users). This license does not include the right to: (a) modify, adapt, or create derivative works based on the Platform or Content; (b) distribute, sublicense, lease, lend, or sell the Platform or Content to any third party; (c) use the Platform or Content for any commercial purpose not authorized by Unio; or (d) remove, alter, or obscure any proprietary notices or attributions on the Platform or Content.
9.4. Institutional License. Institutions subscribing to the B2B Service are granted an additional limited license to: (a) share individual student reports with the respective student's Parents; (b) use aggregate analytics for internal educational planning and administration; and (c) display the Platform within their physical or virtual classroom environments. This license does not extend to redistributing school-wide data, analytics, or reports to third parties, including other educational institutions, unless expressly authorized by Unio in writing.
9.5. Reservation of Rights. All rights not expressly granted to you in these Terms are reserved by Unio. No implied licenses are granted by Unio under these Terms.
9.6. Feedback. If you provide Unio with any feedback, suggestions, ideas, improvements, or recommendations regarding the Platform ("Feedback"), you hereby assign to Unio all right, title, and interest in and to such Feedback. Unio shall be free to use, reproduce, modify, distribute, and otherwise exploit such Feedback without restriction, attribution, or compensation to you.
10. USER CONTENT AND DATA LICENSE
10.1. User Content License Grant. By creating, submitting, uploading, posting, or otherwise making available any User Content on or through the Platform, you hereby grant Unio a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, perform, analyze, process, aggregate, anonymize, create derivative works from, and otherwise exploit such User Content, in whole or in part, in any form, media, or technology now known or hereafter developed, for any purpose, including but not limited to:
- (a) Operating, maintaining, and improving the Platform and Services;
- (b) Developing, training, testing, and improving AI models, machine learning algorithms, and automated systems;
- (c) Creating anonymized and aggregated datasets for research, analytics, and benchmarking;
- (d) Generating insights, reports, and analytics for Users, Institutions, and Unio's own purposes;
- (e) Enhancing the educational experience for all Users of the Platform;
- (f) Publishing anonymized and aggregated findings in academic journals, research papers, conferences, and other publications;
- (g) Marketing and promoting the Platform, provided that individually identifiable information is not disclosed without consent; and
- (h) Any other purpose related to Unio's business operations and educational mission.
10.2. Assessment Data Ownership. All Assessment Data, including but not limited to psychometric assessment responses, personality type classifications, dimensional scores, variable computations, career predictions, and all derived insights, analyses, and outputs, are the Intellectual Property of Unio. While Users may access their own Assessment results through the Platform, the underlying data, methodologies, and derived insights belong exclusively to Unio. For the avoidance of doubt:
- (a) The raw responses you provide to Assessment items become part of Unio's dataset upon submission;
- (b) The scores, profiles, type classifications, and career predictions generated from your responses are produced by Unio's proprietary algorithms and are Unio's Intellectual Property;
- (c) You are granted a limited, non-exclusive, non-transferable license to view and use your own Assessment results for personal educational and career exploration purposes; and
- (d) Unio may use Assessment Data from all Users, in anonymized and aggregated form, to refine, validate, and improve its psychometric models, scoring algorithms, and career prediction systems.
10.3. Contribution to Platform Improvement. You acknowledge and agree that your use of the Platform and the User Content you provide contribute to improving the Platform for all Users. Specifically: (a) your Assessment responses help calibrate and validate psychometric instruments; (b) your quiz and assignment submissions help improve AI grading accuracy; (c) your learning patterns help optimize concept mastery tracking; and (d) your interactions with AI features help improve the responsiveness and accuracy of AI systems. These contributions benefit the entire community of learners and educators on the Platform.
10.4. Teacher and Institution Content. Content created by Teachers or Institutions on the Platform (including custom quizzes, assignments, and course materials) remains the intellectual property of the creating Teacher or Institution, subject to the license granted in Section 10.1 above. Teachers and Institutions retain the right to use such content outside the Platform. Unio may use anonymized patterns, structures, and metadata from such content to improve its AI and recommendation systems.
10.5. Representations Regarding User Content. By submitting User Content, you represent and warrant that: (a) you own or have the necessary rights, licenses, consents, and permissions to submit such User Content and to grant the license described in Section 10.1; (b) the User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other legal rights; and (c) the User Content does not violate any applicable law, regulation, or these Terms.
10.6. No Obligation. Unio is under no obligation to use, display, or maintain any User Content. Unio reserves the right to remove or modify any User Content at any time, for any reason, without notice.
11. PSYCHOMETRIC ASSESSMENTS AND AI-GENERATED CONTENT
11.1. Nature of Assessments. The psychometric assessments provided through the Platform are educational tools designed to provide insights into personality traits, cognitive strengths, interests, values, and career aptitudes. They are based on Unio's proprietary psychometric models, which incorporate established psychometric principles adapted for the Indian K-12 context.
11.2. Not Professional Advice. Assessment results, career predictions, personality profiles, and all other outputs generated by the Platform are for informational and educational purposes only. They do not constitute and shall not be construed as: (a) professional career counseling or guidance; (b) psychological assessment, diagnosis, or treatment; (c) medical, legal, financial, or any other form of professional advice; or (d) a guarantee or prediction of academic, career, or life outcomes.
11.3. Probabilistic Nature of Career Predictions. The career prediction engine maps psychometric profiles to career categories using statistical models and algorithmic analysis. These predictions represent probabilistic alignments, not deterministic outcomes. Career predictions are: (a) based on population-level patterns and may not accurately reflect individual circumstances, opportunities, or choices; (b) influenced by the quality and honesty of assessment responses; (c) reflective of the career landscape and occupational data available at the time of assessment; and (d) one of many factors that should inform career exploration and decision-making.
11.4. AI Grading Limitations. AI-generated grades and feedback are supplementary to, and do not replace, teacher judgment and evaluation. Users and Institutions acknowledge that: (a) AI grading is designed to assist teachers, not to serve as the sole basis for academic evaluation; (b) AI grading may contain errors, particularly for subjective or open-ended responses; (c) teachers retain full authority and responsibility for final grades and academic decisions; and (d) students should raise any concerns about AI-generated grades with their teachers.
11.5. Continuous Improvement. Unio continuously updates and improves its Assessment instruments, AI models, and scoring algorithms. As a result, assessment outputs may vary over time, and past results may differ from current or future results generated by updated models. Unio is not obligated to maintain consistency with previous versions of its models.
11.6. No Liability for Outcomes. Unio shall have no liability whatsoever for any decisions made, actions taken, or outcomes experienced by any User based on Assessment results, career predictions, AI-generated grades, AI study recommendations, or any other output of the Platform. Users assume full responsibility for how they interpret and act upon information provided by the Platform.
12. PRIVACY AND DATA PROCESSING
12.1. Privacy Policy. The collection, use, storage, and processing of personal data by Unio is governed by our Privacy Policy, available at unioedtech.com/privacy, which is incorporated into these Terms by reference.
12.2. Institutional Data Processing. In the context of the B2B Service:
- (a) The Institution shall be the Data Fiduciary for the personal data of Students, Teachers, and other Users affiliated with the Institution.
- (b) Unio shall act as the Data Processor, processing personal data on behalf of the Institution in accordance with these Terms, the Privacy Policy, and the Institution's instructions.
- (c) Unio's role as Data Processor includes broad processing rights necessary to provide the Service, including but not limited to: storing and organizing student data; generating assessment reports and analytics; training and improving AI models using anonymized and aggregated data; conducting system maintenance and security monitoring; and performing any other processing necessary to deliver the Platform's features and functionalities.
- (d) The Institution shall ensure that it has obtained all necessary consents from data subjects (including Parents of Minor Users) for the processing activities described in these Terms and the Privacy Policy.
- (e) Notwithstanding Unio's role as Data Processor, Unio retains independent rights over anonymized and aggregated data as described in Sections 10 and 17.
12.3. B2C Data Processing. In the context of the B2C Service and Free Tier, Unio acts as the Data Fiduciary and processes personal data in accordance with these Terms and the Privacy Policy.
12.4. Data Security. Unio implements reasonable technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the internet or method of electronic storage is completely secure, and Unio cannot guarantee absolute security.
12.5. Compliance. Unio is committed to complying with applicable data protection laws, including the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023, as may be amended from time to time.
13. LIMITATION OF LIABILITY
13.1. Exclusion of Certain Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE CONSUMER PROTECTION ACT, 2019, IN NO EVENT SHALL UNIO, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:
- (a) Loss of profits, revenue, business, goodwill, or anticipated savings;
- (b) Loss of data, including User Content or Assessment Data;
- (c) Career outcomes, academic results, or life decisions made based on Platform outputs;
- (d) Failure to achieve any particular academic score, rank, or admission outcome;
- (e) Inaccuracy of AI-generated grades, feedback, or recommendations;
- (f) Inaccuracy of psychometric assessment results or career predictions;
- (g) Unauthorized access to or alteration of your data or transmissions;
- (h) Statements or conduct of any third party on the Platform;
- (i) Any interruption, suspension, or discontinuation of the Platform or any part thereof;
- (j) Any bugs, viruses, or other harmful components transmitted through the Platform;
- (k) Any errors or omissions in any Content;
- (l) Personal injury or property damage resulting from your access to or use of the Platform;
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT UNIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2. Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF UNIO AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, AND AFFILIATES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNTS ACTUALLY PAID BY YOU TO UNIO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) INR 5,000 (INDIAN RUPEES FIVE THOUSAND).
13.3. Platform as Educational Tool. You expressly acknowledge and agree that: (a) the Platform is an educational support tool and is not a substitute for professional counseling, therapy, medical advice, or any other professional service; (b) career predictions and recommendations are informational and do not guarantee any particular career outcome; (c) AI-generated content, including grades and study recommendations, is advisory and supplementary to human judgment; (d) the Platform does not guarantee academic success, examination results, or admission to any educational institution; and (e) you bear sole responsibility for all decisions made based on information provided through the Platform.
13.4. Force Majeure Disclaimer. Unio shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Unio's reasonable control, as further described in Section 20.
13.5. Applicability. Some jurisdictions do not allow the exclusion or limitation of certain damages. If such laws apply to you, some or all of the above exclusions or limitations may not apply to you, and you may have additional rights. In such cases, Unio's liability shall be limited to the maximum extent permitted by applicable law.
13.6. Essential Basis of Agreement. You acknowledge that Unio has set its prices and entered into these Terms in reliance upon the limitations of liability and disclaimers of warranties set forth herein, and that these provisions form an essential basis of the bargain between the parties. The limitations of liability in this Section shall apply notwithstanding the failure of the essential purpose of any limited remedy.
14. DISCLAIMER OF WARRANTIES
14.1. As-Is Basis. THE PLATFORM, INCLUDING ALL CONTENT, FEATURES, FUNCTIONALITIES, AI-GENERATED OUTPUTS, ASSESSMENT RESULTS, CAREER PREDICTIONS, AND ALL OTHER MATERIALS AND SERVICES PROVIDED THROUGH THE PLATFORM, IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.
14.2. Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- (a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- (b) ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE;
- (c) ANY WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- (d) ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING AI-GENERATED CONTENT, ASSESSMENT RESULTS, AND CAREER PREDICTIONS;
- (e) ANY WARRANTIES THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- (f) ANY WARRANTIES THAT DEFECTS IN THE PLATFORM WILL BE CORRECTED; AND
- (g) ANY WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM.
14.3. Third-Party Content. Any third-party content, links, or services accessible through the Platform are provided for convenience only. Unio does not endorse, warrant, or assume any responsibility for any third-party content, products, or services.
15. INDEMNIFICATION
15.1. Your Indemnification Obligations. You agree to indemnify, defend, and hold harmless Unio, its directors, officers, employees, agents, partners, licensors, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to:
- (a) Your access to or use of the Platform;
- (b) Your User Content;
- (c) Your violation of these Terms;
- (d) Your violation of any applicable law, regulation, or third-party right, including intellectual property rights and privacy rights;
- (e) Any claim by a third party arising from your use of the Platform;
- (f) Any dispute between you and any other User of the Platform; and
- (g) In the case of Institutions: any failure to obtain necessary consents from Students, Parents, Teachers, or other individuals whose data is processed through the Platform.
15.2. Institutional Indemnification. Institutions additionally agree to indemnify Unio against any claims arising from: (a) the Institution's failure to comply with applicable data protection laws; (b) unauthorized use of the Platform by the Institution's Users; and (c) any misrepresentation by the Institution regarding its authority to bind its Users to these Terms.
15.3. Procedure. Unio shall provide prompt written notice of any claim for which indemnification is sought, cooperate with the indemnifying party in the defense of such claim, and not settle such claim without the prior written consent of the indemnifying party. The indemnifying party shall have the right to control the defense and settlement of any claim, provided that Unio may participate in the defense at its own expense.
16. TERMINATION AND SUSPENSION
16.1. Termination by User. Individual Users may terminate their account at any time by contacting support@unioedtech.com or using the account deletion functionality on the Platform. Termination does not entitle you to a refund of any prepaid fees.
16.2. Termination by Institution. Institutions may terminate their B2B Subscription at the end of the current billing period by providing at least thirty (30) days' written notice to Unio at support@unioedtech.com.
16.3. Termination by Unio. Unio may terminate or suspend your account or access to the Platform, in whole or in part, immediately and without prior notice, for any of the following reasons:
- (a) Violation of these Terms, including the Acceptable Use Policy;
- (b) Non-payment of fees after a thirty (30) day cure period following written notice;
- (c) Fraudulent, abusive, or unlawful activity;
- (d) Requests by law enforcement or government agencies;
- (e) Extended periods of inactivity (twelve (12) months or more);
- (f) Unexpected technical or security issues;
- (g) Discontinuation of the Platform or any part thereof; or
- (h) Any other reason that Unio, in its sole discretion, deems necessary to protect the Platform, its Users, or its business interests.
16.4. Suspension. Unio may suspend (rather than terminate) your account for investigation purposes or pending resolution of a potential violation. During suspension, your access to the Platform will be restricted, but your data will be retained.
16.5. Effect of Termination. Upon termination of your account: (a) your right to access and use the Platform shall cease immediately; (b) all licenses granted to you under these Terms shall terminate; (c) you must cease all use of the Platform and destroy any copies of Content in your possession; and (d) the provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 9 (Intellectual Property Rights), 10 (User Content and Data License), 13 (Limitation of Liability), 14 (Disclaimer of Warranties), 15 (Indemnification), 17 (Data Retention and Account Deletion), 18 (Dispute Resolution and Arbitration), and 19 (Governing Law and Jurisdiction).
16.6. Data Export. Upon termination of a B2B Subscription, the Institution may request export of its student data within thirty (30) days of termination by submitting a written request to support@unioedtech.com. Unio will provide the data in a commonly used, machine-readable format within a reasonable timeframe, not to exceed thirty (30) days from the date of the request. After the data export period, Unio may delete the Institution's data from its active systems, subject to the data retention provisions in Section 17.
17. DATA RETENTION AND ACCOUNT DELETION
17.1. Account Deletion Requests. Users may request deletion of their account by contacting support@unioedtech.com or through the account deletion functionality on the Platform. Unio will process account deletion requests within thirty (30) days of receipt, subject to the provisions of this Section.
17.2. Scope of Deletion. Upon account deletion: (a) your personal profile information (name, contact details, login credentials) will be removed from active systems; (b) your access to the Platform will be permanently revoked; and (c) individually identifiable Content associated with your account will be de-identified or removed from active systems within a reasonable timeframe.
17.3. Retained Data. Notwithstanding account deletion, Unio retains the right to keep the following data indefinitely:
- (a) Anonymized and Aggregated Data: All anonymized and aggregated data derived from your use of the Platform and your User Content, including but not limited to response patterns, scoring distributions, psychometric calibration data, concept mastery patterns, and learning analytics, which have been irreversibly stripped of personally identifiable information.
- (b) Assessment Calibration Data: Anonymized Assessment responses and derived psychometric parameters used to calibrate, validate, and norm-reference Unio's assessment instruments.
- (c) AI Training Data: Anonymized data that has been incorporated into AI model training datasets prior to the deletion request.
- (d) Legal and Compliance Records: Records necessary for compliance with applicable law, resolution of disputes, enforcement of these Terms, or other legitimate business purposes, retained for the minimum period required by law.
- (e) Backup Systems: Residual copies of data that may exist in backup or archival systems for a reasonable period until overwritten in the ordinary course of operations.
17.4. Institutional Data Deletion. Where an Institution terminates its B2B Subscription, the deletion of student, teacher, and other institutional data shall be subject to: (a) the data export provisions in Section 16.6; (b) the retained data provisions in Section 17.3; and (c) any data retention obligations under applicable law.
17.5. Acknowledgment. By using the Platform, you acknowledge and agree that Unio's retention of anonymized and aggregated data as described in this Section is reasonable, proportionate, and necessary for the continued improvement of the Platform and the advancement of educational research, and that such retention does not constitute a violation of your privacy rights.
18. DISPUTE RESOLUTION AND ARBITRATION
18.1. Informal Resolution. Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform ("Dispute") by contacting Unio at support@unioedtech.com with a written description of the Dispute, your contact information, and the specific relief you seek. Unio will attempt to resolve the Dispute informally within thirty (30) days of receipt of your notice.
18.2. Arbitration. If a Dispute cannot be resolved informally within thirty (30) days, either party may refer the Dispute to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted as follows:
- (a) Arbitration Rules: The arbitration shall be conducted in accordance with the rules of the Indian Council of Arbitration or such other arbitration institution as the parties may mutually agree.
- (b) Seat and Venue: The seat and venue of arbitration shall be Chandigarh, India.
- (c) Language: The arbitration proceedings shall be conducted in English.
- (d) Arbitrator: The arbitration shall be conducted by a sole arbitrator, mutually appointed by the parties. If the parties are unable to agree on an arbitrator within fifteen (15) days, the arbitrator shall be appointed in accordance with the applicable arbitration rules.
- (e) Confidentiality: All arbitration proceedings, including filings, evidence, and awards, shall be kept confidential by the parties and the arbitrator, except as required by law or for enforcement of the arbitral award.
- (f) Award: The arbitral award shall be final and binding on the parties. Judgment on the award may be entered in any court of competent jurisdiction.
- (g) Costs: Each party shall bear its own costs of arbitration, and the costs of the arbitrator shall be shared equally, unless the arbitral award provides otherwise.
18.3. Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Unio.
18.4. Exceptions. Notwithstanding the foregoing, nothing in this Section shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
18.5. Consumer Protection. Nothing in this Section shall be construed to limit or waive any rights available to you under the Consumer Protection Act, 2019, including your right to file a complaint before the appropriate Consumer Disputes Redressal Commission.
19. GOVERNING LAW AND JURISDICTION
19.1. Governing Law. These Terms and any Dispute arising out of or relating to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
19.2. Jurisdiction. Subject to the arbitration provisions in Section 18, the courts of Chandigarh, India shall have exclusive jurisdiction over any Dispute arising out of or relating to these Terms or your use of the Platform.
19.3. Applicable Laws. These Terms are subject to the Indian Contract Act, 1872; the Information Technology Act, 2000, and rules thereunder; the Consumer Protection Act, 2019; the Digital Personal Data Protection Act, 2023; and all other applicable laws of India.
20. FORCE MAJEURE
20.1. Definition. "Force Majeure Event" means any event or circumstance beyond the reasonable control of a party, including but not limited to: (a) natural disasters, including earthquakes, floods, storms, epidemics, and pandemics; (b) acts of war, terrorism, armed conflict, riot, or civil unrest; (c) government actions, sanctions, embargoes, or regulatory changes; (d) labor disputes, strikes, or lockouts (other than those involving a party's own employees); (e) failures of internet infrastructure, telecommunications networks, or cloud service providers; (f) power outages or utility failures; (g) cyber-attacks, including distributed denial-of-service attacks, ransomware, or other malicious interference; and (h) any other event beyond the reasonable control of the affected party.
20.2. Effect. Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by a Force Majeure Event. The affected party shall: (a) promptly notify the other party of the Force Majeure Event and its expected duration; (b) use reasonable efforts to mitigate the effects of the Force Majeure Event; and (c) resume performance of its obligations as soon as reasonably practicable after the cessation of the Force Majeure Event.
20.3. Extended Force Majeure. If a Force Majeure Event continues for a period exceeding ninety (90) days, either party may terminate these Terms by providing written notice to the other party, without liability for such termination, except for the payment of amounts due for Services rendered prior to the date of termination.
21. MODIFICATION OF TERMS
21.1. Right to Modify. Unio reserves the right to modify, amend, or update these Terms at any time, in its sole discretion.
21.2. Notice of Changes. Unio will provide Users with at least thirty (30) days' notice before material changes to these Terms take effect. Notice may be provided through: (a) email to the address associated with your account; (b) a prominent notice on the Platform; (c) a notification within your account dashboard; or (d) any other reasonable means.
21.3. Acceptance of Changes. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Platform before the effective date of the changes.
21.4. Institutional Notice. For Institutions subscribing to the B2B Service, notice of material changes will be provided to the designated Administrator. The Institution is responsible for communicating such changes to its affiliated Users.
21.5. Pricing Changes. Changes to subscription pricing shall be governed by Section 6.11 and shall not take effect mid-contract or mid-billing cycle for existing subscribers.
22. GENERAL PROVISIONS
22.1. Entire Agreement. These Terms, together with the Privacy Policy, any applicable Order Form, and any other policies or guidelines referenced herein, constitute the entire agreement between you and Unio with respect to your use of the Platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether oral or written.
22.2. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, while preserving its original intent.
22.3. Waiver. The failure of Unio to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by Unio.
22.4. Assignment. You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Unio. Unio may assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, without your consent, including in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.
22.5. No Third-Party Beneficiaries. These Terms are for the benefit of and binding upon the parties hereto and their respective successors and permitted assigns. Nothing in these Terms is intended to or shall confer upon any third party any right, benefit, or remedy.
22.6. Notices. All notices, requests, demands, and other communications under these Terms shall be in writing and shall be deemed to have been duly given when: (a) delivered personally; (b) sent by registered post or speed post with acknowledgment due; (c) sent by email with confirmation of receipt; or (d) posted on the Platform (for general notices to Users). Notices to Unio shall be sent to support@unioedtech.com or to the registered office of Eigenmind Pvt Ltd. Notices to you shall be sent to the email address associated with your account.
22.7. Relationship of Parties. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, agency, or franchise relationship between you and Unio. Neither party has the authority to bind or obligate the other.
22.8. Headings. The headings and section titles in these Terms are for convenience only and shall not affect the interpretation or construction of any provision.
22.9. Language. These Terms are drafted in the English language. In the event of any conflict between the English language version and any translation, the English language version shall prevail.
22.10. Survival. All provisions of these Terms that by their nature should survive termination or expiration shall survive, including but not limited to provisions relating to intellectual property, data licensing, limitation of liability, indemnification, dispute resolution, and general provisions.
22.11. Electronic Record. These Terms constitute an electronic record within the meaning of the Information Technology Act, 2000, and the rules thereunder, as amended from time to time. These Terms are generated by a computer system and do not require any physical or digital signatures.
22.12. Grievance Officer. In accordance with the Information Technology Act, 2000, and the rules thereunder, the name and contact details of the Grievance Officer are as follows:
